By accessing or using Vertical ("the Platform"), you agree to these Terms of Use. If you do not agree, do not use the Platform.
You must be at least 18 years of age to access or use the Platform. The Platform involves entering into binding agreements, and by using it you represent and warrant that you are 18 or older and have the legal capacity to enter into these Terms. If you are under 18, you may not use the Platform.
Vertical is a platform for managing creators and their deliverables. Creators can track content obligations, submit posts, and view contracts. Associates and team members can manage creator relationships, set up contracts, and track deliverables.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and notify us of any unauthorized use.
You agree to use the Platform only for lawful purposes and in accordance with these terms. You may not:
You retain ownership of content you submit. By submitting content, you grant us a license to use, store, and display it as necessary to operate the Platform. We respect intellectual property rights and expect you to do the same.
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability shall not exceed the amount you paid us, if any, in the twelve months preceding the claim.
We take reasonable measures to protect the Platform and your information, but no system, network, or method of transmission or storage is completely secure. You are responsible for safeguarding your account credentials and for all activity under your account. To the maximum extent permitted by applicable law, we are not liable for any unauthorized access to or use of your account or information, data breaches, hacking, malware, phishing, service interruptions, data loss, or other security incidents, whether or not foreseeable. In the event of a security incident affecting your information, we will provide notice to the extent required by applicable law.
You agree to indemnify, defend, and hold harmless Vert and its owners, officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, the content you submit, your violation of these Terms, or your violation of any applicable law or the rights of any third party.
The Platform relies on, integrates with, and may link to third-party services and websites that we do not own or control. We are not responsible for the availability, accuracy, content, security, or privacy practices of any third party, and your use of any third-party service is at your own risk and subject to that party's terms and policies.
These Terms are governed by the applicable laws of the United States, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Platform shall be brought exclusively in a court of competent jurisdiction located in the United States, and you consent to the personal jurisdiction of those courts. To the maximum extent permitted by applicable law, any claim must be brought in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding, and each party waives any right to a jury trial.
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, power or internet failures, cyberattacks, or third-party service outages.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign or transfer these Terms without our prior written consent; we may assign them freely. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Platform and supersede any prior agreements.
We may suspend or terminate your access at any time for violation of these terms or for any other reason. You may stop using the Platform at any time.
We may modify these terms from time to time. Continued use of the Platform after changes constitutes acceptance of the updated terms.
